Section 8 Company Registration Process

A Section 8 company is a type of non-profit organization in India that is formed for promoting science, art, education, charity, religion, or any other similar objective. Here are the steps to register a Section 8 company in India:
  1. Obtain Digital Signature Certificate (DSC) and Director Identification Number (DIN) for all the proposed directors of the company.
  2. Apply for name reservation of the company using Form SPICe+ Part A on the MCA (Ministry of Corporate Affairs) website. The name should not be similar to an existing company or trademark.
  3. Once the name is approved, prepare the Memorandum of Association (MoA) and Articles of Association (AoA) of the company.
  4. Fill out Form SPICe+ Part B, which includes the details of the company’s directors, shareholders, and registered office address.
  5. Attach the required documents like MoA, AoA, address proof, identity proof of directors and shareholders, and other necessary documents as per the MCA guidelines.
  6. Pay the registration fees online.
  7. Submit the forms and documents on the MCA website.
  8. Once the Registrar of Companies (RoC) approves the application, the Certificate of Incorporation (CoI) will be issued.
  9. Obtain the PAN (Permanent Account Number) and TAN (Tax Deduction and Collection Account Number) of the company.

It is important to note that Section 8 companies have certain restrictions on their activities and profits, and they need to maintain compliance with various laws and regulations.
