Section 8 Company Registration Process
A Section 8 company is a type of non-profit organization in India that is formed for promoting science, art, education, charity, religion, or any other similar objective. Here are the steps to register a Section 8 company in India:
- Obtain Digital Signature Certificate (DSC) and Director Identification Number (DIN) for all the proposed directors of the company.
- Apply for name reservation of the company using Form SPICe+ Part A on the MCA (Ministry of Corporate Affairs) website. The name should not be similar to an existing company or trademark.
- Once the name is approved, prepare the Memorandum of Association (MoA) and Articles of Association (AoA) of the company.
- Fill out Form SPICe+ Part B, which includes the details of the company’s directors, shareholders, and registered office address.
- Attach the required documents like MoA, AoA, address proof, identity proof of directors and shareholders, and other necessary documents as per the MCA guidelines.
- Pay the registration fees online.
- Submit the forms and documents on the MCA website.
- Once the Registrar of Companies (RoC) approves the application, the Certificate of Incorporation (CoI) will be issued.
- Obtain the PAN (Permanent Account Number) and TAN (Tax Deduction and Collection Account Number) of the company.
It is important to note that Section 8 companies have certain restrictions on their activities and profits, and they need to maintain compliance with various laws and regulations.
